Meetings of Council

21. (1) The Council shall meet at least three times in each year, with at least one such meeting at the head office of the Centre, and at any other times and places in Canada that the Chairperson considers necessary.

52. Paragraphs 22(c) and (d) of the Act are replaced by the following:

    (c) the procedure in all business at meetings of the Council; and

Terminology

53. The English version of the Act is amended by replacing the word ``Chair man'' with the word ``Chairperson'' in the following provisions:

    (a) paragraph 4(a);

    (f) subsection 23(1); and

Canadian Film Development Corporation

Amendments to the Canadian Film Development Corporation Act

54. Subsection 4(2) of the Canadian Film Development Corporation Act is replaced by the following:

Chairperson

(2) The Governor in Council shall designate one of the members of the Corporation to serve as chairperson of the Corporation during pleasure and the chairperson may receive such fees as are fixed by the Governor in Council.

55. Section 11 of the Act is replaced by the following:

Meetings

11. The members of the Corporation shall meet at such times and places as they consider necessary.

56. Subsection 12(1) of the Act is replaced by the following:

Executive director and secretary

12. (1) The Governor in Council may, on the recommendation of the Minister after con sultation with the Corporation, appoint an executive director of the Corporation, who shall hold office during pleasure and shall be paid such remuneration as is fixed by the Governor in Council.

Canadian International Trade Tribunal

Amendments to the Canadian International Trade Tribunal Act

57. (1) The definition ``Chairman'' in subsection 2(1) of the English version of the Canadian International Trade Tribunal Act is repealed.

(2) Subsection 2(1) of the English version of the Act is amended by adding the following in alphabetical order:

``Chairperson' ' Version anglaise seulement

``Chairperson'' means the Chairperson of the Tribunal;

58. (1) Subsection 3(1) of the Act is replaced by the following:

Tribunal established

3. (1) There is hereby established a tribunal, to be known as the Canadian International Trade Tribunal, consisting, subject to subsec tion (2), of not more than nine permanent members to be appointed by the Governor in Council.

(2) Subsection 3(5) of the Act is replaced by the following:

Re-
appointment of permanent members

(5) A permanent member, on the expiration of a first term of office, is eligible to be re-appointed in the same or another capacity.

59. (1) The Act is amended by adding the following after section 3:

Chairperson and Vice-
Chairperson

3.1 The Governor in Council shall desig nate one of the members appointed under subsection 3(1) to hold office as Chairperson and two to hold office as Vice-Chairpersons.

Tenure of office

(2) For greater certainty, each person who holds office as Chairman or Vice- Chairman of the Canadian International Trade Tribunal immediately before the coming into force of subsection (1) contin ues in office during good behaviour as Chairperson or Vice-Chairperson, as the case may be, of the Tribunal for the remainder of the term for which the person was appointed, but may be removed by the Governor in Council for cause.

60. Subsections 6(2) and (3) of the Act are replaced by the following:

Expenses

(2) Each member is entitled to be paid reasonable travel and living expenses incurred by the member while absent from the mem ber's ordinary place of work in the course of performing duties under this Act.

61. Subsection 8(1) of the English version of the Act is replaced by the following:

Absence, etc., of Chairperson

8. (1) In the event of the absence or incapacity of the Chairperson or if the office of Chairperson is vacant, the Tribunal may authorize one of the Vice-Chairpersons to act as Chairperson for the time being, and a Vice-Chairperson so authorized has and may exercise and perform all the powers, duties and functions of the Chairperson .

62. Section 10 of the Act is amended by adding the following after subsection (3):

Compensation

(4) The members of the Tribunal are deemed to be employees for the purposes of the Government Employees Compensation Act and to be employed in the public service of Canada for the purposes of any regulations made pursuant to section 9 of the Aeronautics Act.

Terminology

63. The English version of the Act is amended by replacing the word ``Chair man'' with the word ``Chairperson'' in the following provisions:

    (a) section 7;

    (b) subsection 8(2);

    (c) section 9;

    (d) subsection 14(2);

    (e) subsection 30.11(3);

    (f) subsection 33(1); and

    (g) subsections 59(1) and (2).

Canadian Polar Commission

Amendments to the Canadian Polar Commission Act

64. Subsection 6(1) of the Canadian Polar Commission Act is replaced by the follow ing:

Management of activities of the Commission

6. (1) The activities of the Commission shall be managed by a Board of Directors consisting of up to seven members, including a Chairperson and a Vice-Chairperson , to be appointed by the Governor in Council, on the recommendation of the Minister.

65. Section 9 of the Act is replaced by the following:

Remuneration

9. (1) The Chairperson and the Vice-Chair person shall be paid any remuneration that is fixed by the Governor in Council.

Remuneration for other members

(2) The members of the Board, other than the Chairperson and the Vice-Chairperson , shall be paid any remuneration that is fixed by the Governor in Council for their attendance at any meetings of the Board, or of any of its committees, that the Chairperson directs them to attend, and for any special work for the Commission performed by them at the request of the Chairperson.

66. Section 12 of the Act is replaced by the following:

Absence of Chairperson

12. In the event of the absence or incapacity of the Chairperson, the Vice-Chairperson shall be designated by the Board to exercise all of the powers and perform all of the duties and functions of the Chairperson.

67. Section 15 of the Act is replaced by the following:

Meetings

15. (1) Subject to subsection (2), the Board shall meet at least three times in each year, at different places in Canada, at any times and places that the Chairperson may select.

Northern meetings

(2) At least two of the Board's meetings in each year shall be held in a polar region in Canada .

Canadian Race Relations Foundation

Amendments to the Canadian Race Relations Foundation Act

68. (1) Paragraph 4(a) of the English version of the Canadian Race Relations Foundation Act is replaced by the following:

    (a) undertaking research and collecting data and developing a national information base in order to further understanding of the nature of racism and racial discrimination and thereby assisting business, labour, voluntary, community and other organiza tions as well as public institutions, govern ments, researchers and the general public to eliminate racism and racial discrimination;

(2) Paragraphs (4)(b) to (g) of the Act are replaced by the following:

    (b) acting as a clearing-house that provides data about race relations, establishes links with public, private and educational institu tions and libraries and facilitates the ex change of information that would assist governments to develop effective race rela tions policies and practices ;

    (c) supporting effective race relations train ing by providing appropriate information and assisting in the development of profes sional standards; and

    (d) disseminating appropriate information to increase public awareness of the impor tance of eliminating racism and racial discrimination;

69. Subsection 6(1) of the Act is replaced by the following:

Board of Directors

6. (1) The activities of the Foundation shall be managed by a Board of Directors consisting of a Chairperson and not more than fourteen other directors to be appointed by the Gover nor in Council, on the recommendation of the Minister, after the Minister, taking into ac count the multicultural character, linguistic duality and regional diversity of Canadian society, has consulted with such governments, institutions, organizations and individuals as the Minister considers appropriate.

70. Subsection 17(3) of the Act is replaced by the following:

Application of Financial Administra-
tion Act

(3) The following provisions of the Finan cial Administration Act do not apply in respect of the Foundation:

    (a) sections 89 and 89.1;

    (b) Division II of Part X, other than sections 109 and 119;

    (c) section 121;

    (d) sections 123 and 124;

    (e) subsection 131(3);

    (f) section 134;

    (g) sections 138 to 142; and

    (h) Division IV of Part X.

Inconsistency with Financial Administra-
tion Act

(4) In the event of any inconsistency between this Act and the Financial Adminis tration Act, this Act prevails to the extent of the inconsistency.

71. Section 20 of the Act is replaced by the following:

Delegation

20. The Minister may delegate any of the Minister's powers, duties and functions under this Act to any Minister of State appointed pursuant to the Ministries and Ministers of State Act to assist the Minister.

72. Section 23 of the Act is repealed.
